Business customers only. These Services are supplied to organisations acting in the course of business.

1. Acceptance & Changes

1.1 By placing an order, paying an invoice, or otherwise using the Services, you accept these Terms ("Agreement").

1.2 You must be at least 18 years of age and legally able to enter into a binding agreement.

1.3 We may update these Terms to reflect legal, technical, or operational changes. The version in force on the date of your order applies to that order; ongoing subscriptions will be governed by the updated Terms after notice to you.

2. Services & Scope

2.1 Services. We provide Answer Engine Optimization / Generative Engine Optimization services ("Services") designed to increase the likelihood your brand is named or cited in AI/LLM-driven answer engines such as ChatGPT, Perplexity, Gemini, Claude, and other similar platforms ("Answer Engines").

2.2 Delivery model (batches). Services are delivered in batches of activity scheduled by us based on your plan and our professional assessment. A batch may include:

  • FAQ/Q&A content and page updates
  • Schema ("structured data") implementation/refresh
  • Blogs/articles or content expansions
  • Press releases / PR mentions
  • Directory/profile updates (e.g., LinkedIn, Crunchbase, Google Business Profile)
  • Social/community pushes (LinkedIn, Reddit, Quora, YouTube)
  • Measurement, visibility scans, and prompt testing

2.3 Focus. Our optimisation is designed for Answer Engines. While this may indirectly benefit search engines like Google or Bing, we do not guarantee conventional SEO outcomes such as "#1 rankings."

2.4 Ecosystem coverage. Unless otherwise stated, Services apply across all major AI/LLM platforms reasonably available in the market. Listing specific models (e.g., ChatGPT, Gemini, Perplexity, Claude) does not exclude other LLMs or engines that function similarly.

3. Plans, Term & Termination

3.1 Initial terms by plan:

  • Starter: 18-month initial term.
  • Standard: 12-month initial term.
  • Growth: 6-month initial term.

3.2 Renewal. After the initial term, the Agreement continues monthly until terminated under 3.3 or 3.4.

3.3 Termination for convenience (after initial term). Either party may terminate on 30 days' written notice, effective at the end of the next monthly cycle following that notice.

3.4 Termination for cause (any time). Either party may terminate with immediate effect if the other materially breaches this Agreement and fails to cure within 14 days of written notice, or becomes insolvent.

3.5 Effect of termination. You remain liable for all charges up to the effective termination date. No refunds are due once Services for a billing period have been delivered.

4. Client Obligations

4.1 Access & materials. You must provide us with all requested access, approvals, brand assets, logins, and information within 14 working days of entering into this Agreement. Failure to do so may delay or prevent Service delivery.

4.2 Ongoing support. You will continue to provide timely access to websites, CMS, analytics, business profiles, and decision-makers as reasonably required.

4.3 Approvals. You will review and approve drafts or changes promptly; delays may shift schedules.

4.4 Compliance. You are responsible for substantiating all claims about your business that appear in optimised content (e.g., "best," "fastest," "#1").

4.5 Profiles/directories. You authorise us to assist in updating and maintaining your external business profiles to support Answer Engine optimisation.

5. Fees, Invoicing & Payment

5.1 Pricing. Fees are as set out on the order page or statement of work.

5.2 Invoicing. We invoice monthly in arrears for Services delivered in the preceding month.

5.3 Payment terms. Invoices are payable within 14 days of issue.

5.4 Late payment. Statutory interest and recovery costs may apply on overdue invoices. We may suspend Services until payment is received.

5.5 No set-off. Payments may not be withheld or offset against claims unless required by law.

5.6 Non-refund policy. All payments are non-refundable.

6. Delivery Cadence

6.1 Plan guidance:

  • Starter: smaller batches every 3–4 months.
  • Standard: larger batches every 1–2 months.
  • Growth: full batches monthly.

6.2 Flex scheduling. Not every activity is performed each cycle. We determine the mix and timing for maximum impact.

6.3 Change requests. Out-of-scope requests (e.g., extra content, urgent PR) will be quoted separately.

7. Visibility Guarantee (Growth Plan Only)

7.1 Guarantee Scope. If, after 180 days of continuous Growth-plan subscription (the "Guarantee Period"), your brand has not been named or cited in at least one Answer Engine (ChatGPT, Perplexity, Gemini, Claude, or equivalent), you may invoke the Visibility Guarantee.

7.2 Notification Requirement. To trigger the Guarantee, you must notify us in writing within 5 working days after the end of the Guarantee Period. If no notice is received, the Guarantee is deemed waived and void.

7.3 Work Commitment. Once triggered:

  • We will continue optimisation activities for up to 3 months at no additional charge ("Guarantee Work Period").
  • The specific activities, sequencing, and frequency will be determined by us, based on professional judgment and platform conditions.
  • If visibility is achieved before the end of the 3-month Guarantee Work Period, your normal subscription payments will resume immediately from that date.

7.4 Conditions. The Guarantee applies only if:

  • all invoices were paid on time up to the end of the Guarantee Period;
  • you provided timely access, approvals, and accurate information;
  • no restrictions prevented us from publishing, updating, or distributing content, PR, or profiles; and
  • your accounts and business profiles remain in good standing.

7.5 Exclusions. The Guarantee does not apply if visibility is impacted by:

  • material Answer Engine algorithm or policy changes,
  • regulatory restrictions, or
  • factors outside our reasonable control.

7.6 End of Guarantee. The Guarantee Work Period ends on the earlier of:

  • the date visibility is achieved (payments resume), or
  • 3 months after the Guarantee Work Period begins.

7.7 Sole Remedy. This Guarantee provides only for continued optimisation work as outlined above. No refunds, credits, or alternative compensation are available.

8. Data Protection

8.1 Each party is an independent controller for its own data. Where we process data on your behalf (e.g., business profile data), a compliant Data Processing Agreement will apply.

8.2 We will maintain appropriate technical and organisational security measures.

9. Intellectual Property

9.1 All methodologies, tools, and know-how remain our property.

9.2 You receive a licence to use deliverables for your internal business purposes once invoices are paid.

9.3 Third-party rights remain with their owners.

10. Warranties & Disclaimers

10.1 Each party warrants it has authority to enter this Agreement.

10.2 Services are provided "as is." We do not guarantee specific placements, rankings, or traffic volumes — only increased opportunity for visibility in Answer Engines.

10.3 We are not liable for changes made by Answer Engines, platforms, or external publishers.

11. Liability

11.1 Our liability is capped at the total fees you paid in the three months preceding a claim.

11.2 We exclude liability for indirect or consequential losses.

11.3 Nothing limits liability for fraud, death, or personal injury caused by negligence.

12. Confidentiality

Both parties must keep confidential information secure and use it only for delivering or receiving the Services.

13. Termination Effects

On termination, you remain liable for any outstanding payments. Deliverables already created remain licensed to you if fully paid.

14. Governing Law

This Agreement is governed by English law, with exclusive jurisdiction of the courts of England and Wales.
